1. The file system is pretty simple to understand. For the most part, you just make files with the same name as the extensions (so the 3do file would be called "3do" and the mat file would be called "mat"). There are a few exceptions, though. The easiest thing to use to get an idea of where all the files go is ConMan. (If you don't have it, get it, because you will need it.) Anyway, you can use ConMan to open the res2.gob (or whatever it's called). Inside, you will see a whole bunch of files (3do, mat, bm, cog, etc.) and they are all in the proper sub-folders. Also, you can use a plug-in that comes with JED. Just click on the plugins section of the toolbar (I believe), and then click Create JK Tree. This plugin will put all the files in the right spot. (So mat files will go in the mat directory, 3do files will go in the 3do directory). One more thing: In the 3do directory, you should create a new directory called "mat" to place all the mats that you use for your 3do's. This actually isn't really necessary, and I'm not entirely certain what the benefits are, but everyone does it that way...
2. TPL.txt? That's odd... There should be a file called template.tpl (but with no .txt after it.) If there is a .txt after it, then the editor made a mistake and didn't save the tpl file correctly. Just rename it to get rid of the .txt extension. (Windows will tell you that if you change the name, the file may become unstable or some bull like that, but just say yes, and there won't be a problem). As for where the file goes, I'm not entirely sure, so open up res2.gob in ConMan (you have downloaded it by now, right?) and see where the tpl files are stored. (I think it might be .../misc/tpl, but I'm not sure).
Hope this all helps you.
