Does anyone know a video player with transparent video out under Windows? VLC can't.

I think you're asking too much here. Transparent video would be extremely taxing on your system.

OSX VLC can do it and I remember having a DVD player that would do full screen video transparency.

That would be... like... a transparent background so you could see your desktop under the stuff in the foreground? Like those cheesy sci-fi movies where the evil AI appears over the background and threatens the tough computer hacker?

-Heh... someone could walk up to a wall and attack it viciously with a crowbar and break through the wall and it would be your desktop or whatever. That'd be hilarious. Breaking the fourth wall violently.

if the video was rendered as a texture and then the surface made translucent it wouldn't be too hard on the system

Which would work if Windows XP supported 3D hardware composition, but it doesn't. XP does support hardware-accelerated GDI+. It's fast enough for most purposes (and possibly this), but Direct3D it ain't.

I've had the video coming in from my doorcam transparent and sitting on top of my browser window before... doesn't work when it has to do any MPEG decoding or anything though.
